1. Acceptance of Terms

These Terms of Use ("Terms") are a legal agreement between you and SARAFAN ("SARAFAN", "Assetsy", "we", "us", or "our") governing your use of:

the Assetsy mobile applications,
our website located at https://assetsy.io, and
any related services, features and content (together, the "Services").

By clicking "I agree" (or similar button or checkbox), creating an account, installing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.

If you accept these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity, and "you" and "your" will refer to that entity.

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

If you access or download the app from:

the Apple App Store, you agree to the Apple Media Services Terms and applicable Usage Rules
the Google Play Store, you agree to the Google Play Terms of Service and any applicable policies

We reserve the right to review and update these Terms of Use at our sole discretion. Changes will be published on this page and communicated through the app and/or the email associated with your account. Updates take effect immediately upon publication.

2. Eligibility and User Representations

You must be at least 13 years old to access and use the Services.

If you are under 13, you are not permitted to create an Account or provide any personal information to Assetsy.

By using the Services, you represent and warrant that:

If you are 18 or older (or at least the age of majority in your jurisdiction):

You have the right, authority, and legal capacity to enter into these Terms and to comply with them, and you agree that you will do so.

If you are under 18 or below the age of majority in your jurisdiction but at least 13 years old:

You use the Services only with your parent's or legal guardian's permission
You have reviewed these Terms together, and you agree that you will comply with them

If you are a parent or legal guardian of a user under 18 or below the age of majority in their jurisdiction:

You confirm that the user is at least 13 years old and is permitted to use the Services
You enter into these Terms on the user's behalf and agree that you are responsible for the minor's use of the Services and for ensuring their compliance with these Terms

If you are using the Services on behalf of a company or other organization:

You represent and warrant that you have full authority to act on behalf of that entity and to bind it to these Terms. In that case, all references to "you" and "your" will refer to that entity.

Additional User Representations and Responsibilities

By accessing or using the Services, you further represent and warrant that:

You have read, understood, and agree to be bound by these Terms and our Privacy Policy
You will not use the Services in any manner that violates any applicable law or regulation
All information you provide to us is accurate, complete, and current
You will promptly update your information if it changes
You will not access the Services through automated or non-human means (bots, scripts, etc.) except as expressly permitted
You will not use the Services for any illegal or unauthorized purpose

If you collect, store, or process personal data of individuals in the EEA while using the Services, you specifically represent and warrant that:

You will obtain consent or rely on another valid legal basis, where required, to transfer personal data to us and allow that data to be processed in connection with the Services
You will comply at all times with your own posted privacy policy
You have collected, stored, used, and transferred all personal data in compliance with all applicable data protection and privacy laws
For purposes of applicable data protection laws, you remain the "controller" of such data and Assetsy acts as your "processor" with respect to that data

You may not use the Services for unlawful, deceptive, or misleading purposes.

3. Accounts and Security

To access certain features, you may need to create an account ("Account").

You are responsible for:

maintaining the confidentiality of your login credentials
restricting access to your device and Account
all activities that occur under your Account, whether or not authorized by you

You agree to promptly notify us at support@assetsy.io of any unauthorized access or suspected breach of security related to your Account.

We reserve the right, at our discretion, to:

refuse registration of any username
suspend or terminate your Account if we reasonably believe you have violated these Terms or pose a risk to us, other users, or third parties

4. Description of the Services

Assetsy is an inventory management platform that allows you to:

track and organize items, assets, and equipment
create folders and tags to categorize your inventory
add photos, descriptions, quantities, prices, and custom fields to items
scan receipts and automatically extract item information using AI
use AI-powered item recognition to automatically detect and categorize items from photos
view activity history and track changes to your inventory
collaborate with team members in shared workspaces
export and import inventory data
access your inventory across multiple devices

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.

4a. AI-Powered Features

Use of Artificial Intelligence

Assetsy uses artificial intelligence (AI) technology, specifically Google Gemini AI, to provide certain features:

Item Recognition – When you take a photo of an item, AI analyzes the image to suggest item details such as name, description, category, and estimated value
Receipt Scanning – When you scan a receipt, AI extracts structured data including store name, items purchased, prices, and totals

How AI Features Work

When you use AI-powered features:

The photo you capture is sent to Google's Gemini AI service for processing
AI analyzes the image and returns suggested information
You can review, edit, or reject the AI suggestions before saving

Your Consent

By using AI-powered features, you acknowledge and agree that:

Your photos will be transmitted to and processed by Google Gemini AI
Google may process this data according to their Privacy Policy and Gemini API Terms of Service
AI suggestions are provided "as is" and may not always be accurate
You are responsible for reviewing and verifying AI-generated information before use

Opting Out

You can choose not to use AI-powered features by:

Manually entering item information instead of using camera recognition
Skipping the AI recognition step when adding items
Entering receipt data manually instead of using receipt scanning

AI Limitations

You understand that:

AI features require an internet connection
AI suggestions may be inaccurate, incomplete, or inappropriate
We do not guarantee the accuracy, reliability, or availability of AI features
AI features may be modified, limited, or discontinued at any time
AI should not be relied upon for critical business decisions without human verification

Prohibited Uses of AI Features

You agree not to:

Use AI features to process images containing sensitive personal information of others without their consent
Attempt to manipulate, exploit, or reverse-engineer the AI systems
Use AI features for any illegal, harmful, or fraudulent purpose
Submit images that violate applicable laws or these Terms

5. User Content

Your Content

"User Content" means any data, text, images, photos, or other materials that you upload, submit, store, or transmit through the Services, including but not limited to:

item information (names, descriptions, quantities, prices, custom fields)
photos of items
scanned receipts
folder and tag structures
workspace names and settings

Ownership

You retain ownership of your User Content. We do not claim ownership of any User Content you submit.

License to Us

By submitting User Content, you grant SARAFAN a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

host, store, cache, and back up your User Content
use, reproduce, modify, translate, distribute, display and perform your User Content
use your User Content to operate, maintain, and improve the Services
use anonymized or aggregated forms of your User Content for analytics, research, and product development

This license ends when you delete your User Content or your Account, except:

where we are required to retain certain data by law or for legitimate business purposes (e.g., security, accounting)
where your content has already been included in backups that cannot reasonably be withdrawn

Your Representations

You represent and warrant that:

you own or control all rights in and to your User Content
your User Content does not violate any applicable law or these Terms
your User Content does not infringe the intellectual property rights or privacy rights of any third party
you have obtained all necessary permissions to upload any content that includes information about other people

6. Workspaces and Team Collaboration

Workspaces

Assetsy allows you to create workspaces to organize your inventory. Each workspace may have its own set of items, folders, tags, and team members.

Team Members and Roles

You may invite other users to join your workspace as team members. Team members may have different roles with different permissions:

Owner – full control over the workspace, including the ability to delete it
Admin – can manage items, folders, tags, and invite/remove members (except the owner)
Editor – can create, edit, and delete items, folders, and tags
Viewer – can view items but cannot make changes

Responsibility for Team Members

If you are the owner or admin of a workspace:

you are responsible for ensuring that team members comply with these Terms
you acknowledge that team members will have access to the inventory data in the workspace according to their role permissions
you can remove team members or change their roles at any time

Shared Data

When you invite someone to your workspace, they will be able to see and (depending on their role) modify the inventory data in that workspace. You are responsible for ensuring that you have the right to share such data with team members.

6a. Data Processing (Business Users)

GDPR and Data Protection

If you use the Services on behalf of a business or organization that processes personal data of individuals in the European Economic Area (EEA), United Kingdom, or Switzerland:

You are the Data Controller – You determine the purposes and means of processing personal data through the Services
We are the Data Processor – We process personal data on your behalf to provide the Services
Sub-processors – We use sub-processors (listed in Section 10) to help provide the Services. By using the Services, you authorize us to engage these sub-processors

Your Responsibilities as Data Controller

You are responsible for:

Ensuring you have a lawful basis (e.g., consent, legitimate interest) to collect and process personal data
Providing appropriate privacy notices to individuals whose data you process
Responding to data subject requests (access, deletion, portability)
Ensuring the accuracy and security of personal data you upload
Complying with all applicable data protection laws

Data Processing Agreement

For business users who require a formal Data Processing Agreement (DPA) for GDPR compliance, please contact us at privacy@assetsy.io. We can provide:

Standard Contractual Clauses (SCCs) for international data transfers
Technical and organizational security measures documentation
Sub-processor list with notification of changes

7. Prohibited Conduct

You agree not to:

use the Services in any way that violates any applicable law or regulation
use the Services for any fraudulent, illegal, or unauthorized purpose
attempt to interfere with, compromise, or disrupt the Services or servers
upload viruses, malware, or other malicious code
use automated means (bots, scripts, crawlers) to access the Services except as expressly permitted
attempt to gain unauthorized access to other users' accounts or data
harvest or collect information about other users without their consent
reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services
copy, distribute, or publicly display any part of the Services except as expressly allowed by these Terms
use the Services to send spam, chain letters, or unsolicited messages
impersonate any person or entity or misrepresent your affiliation with any person or entity
sell, rent, lease, license, or otherwise transfer your Account
bypass or attempt to bypass any measures used to restrict or control access to the Services

We reserve the right to investigate any violation of these Terms and to suspend, limit, or terminate your access to the Services at our discretion.

8. Intellectual Property

All rights, title, and interest in and to the Services (excluding User Content) are owned by or licensed to SARAFAN. This includes, without limitation:

software, code, and databases
visual design, graphics, logos, icons, and branding
text, documentation, and other content we create
trademarks, service marks, and trade names

You may not use our trademarks, logos, or branding without our prior written consent.

Nothing in these Terms grants you any right to use our intellectual property except as necessary to use the Services as intended.

9. Subscriptions and Payments

Subscription Plans

Assetsy offers free and premium subscription plans. Premium plans provide access to additional features such as:

unlimited items
unlimited workspaces
team collaboration features
activity history
data export
priority support

Billing

Subscriptions are billed through the Apple App Store or Google Play Store. By purchasing a subscription, you agree to the payment terms of the applicable store.

Subscription fees are charged in advance on a recurring basis (monthly or annually, depending on your plan).

Automatic Renewal

Subscriptions automatically renew unless you cancel before the end of the current billing period. You can manage and cancel subscriptions through the App Store or Google Play.

Refunds

We cannot cancel subscriptions or issue refunds on your behalf. Any refunds are subject to the policies of Apple or Google. Please contact the relevant store directly for questions about billing or refunds.

Free Trials

If we offer a free trial, we may:

limit eligibility (e.g., new subscribers only)
change or discontinue the free trial at any time
begin charging the applicable subscription fee at the end of the trial if you do not cancel in time

Price Changes

We may change subscription prices from time to time. Price changes will not affect your current billing period but may apply upon renewal.

The Services may display:

links to third-party websites or apps
integrations with third-party services

The Services rely on the following third-party providers:

we do not own, control, or operate these third-party services
we are not responsible for third-party products or services, including their availability, accuracy, content, or privacy practices
your use of third-party services is at your own risk and subject to their terms and policies
third-party AI services (Google Gemini) may process your data according to their own policies

11. Updates and Changes

We may update the app from time to time to add new features, fix bugs, improve performance, or address security issues.

Some updates may be required to continue using the Services. You may disable automatic updates through your device or store settings, but some features may stop working properly if you do so.

You can stop using the app at any time by uninstalling it.

12. Notice Regarding Apple

If you access or use Assetsy on an iOS device, you acknowledge that:

these Terms are between you and SARAFAN, not Apple Inc. ("Apple")
Apple is not responsible for the app or its content
Apple has no obligation to provide any maintenance or support services for the app
if the app fails to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price (if any), but Apple has no further warranty obligations with respect to the app

To the maximum extent permitted by law, Apple will not be responsible for:

any claims related to the app (e.g., product liability, legal or regulatory non-compliance)
any claims arising under consumer protection, privacy, or similar laws
any claims that the app infringes a third party's intellectual property rights

You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and you are not on any U.S. Government list of prohibited or restricted parties.

Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

12a. Notice Regarding Google Play

If you access or use Assetsy on an Android device via Google Play, you acknowledge that:

these Terms are between you and SARAFAN, not Google LLC ("Google")
Google is not responsible for the app or its content
Google has no obligation to provide any maintenance or support services for the app
your use of the app is also subject to Google Play's Terms of Service

To the maximum extent permitted by law, Google will not be responsible for:

any claims related to the app (e.g., product liability, legal or regulatory non-compliance)
any claims arising under consumer protection, privacy, or similar laws
any claims that the app infringes a third party's intellectual property rights

13. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to:

warranties of merchantability
fitness for a particular purpose
non-infringement
accuracy, reliability, or completeness

We do not warrant that:

the Services will be uninterrupted, timely, secure, or error-free
any defects will be corrected
the Services will meet your requirements or expectations
data transmitted or stored through the Services will not be lost or corrupted

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

14. Limitation of Liability

To the maximum extent permitted by applicable law, SARAFAN and its affiliates, directors, officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to:

your use of or inability to use the Services
any content or conduct of third parties on the Services
unauthorized access, use, or alteration of your content or data
any other matter relating to the Services

In no event will our total liability to you for all claims exceed the amount you paid us (if any) in the 12 months preceding the claim, or $100 USD, whichever is greater.

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless SARAFAN, its affiliates, directors, officers, employees, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

your use of the Services
your User Content
your violation of these Terms
your violation of any law or the rights of a third party

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.

16. Termination and Account Deletion

You may stop using the Services at any time. You may request deletion of your Account via in-app settings (where available) or by contacting us at support@assetsy.io.

We may suspend or terminate your access to the Services, in whole or in part, at any time and without liability to you if we reasonably believe that:

you have violated these Terms
your use creates risk or potential legal exposure for us
your Account has been inactive for an extended period
we are required to do so by law

Upon termination:

your right to use the Services will immediately cease
we may delete your Account and User Content (subject to our data retention policies)
provisions of these Terms that by their nature should survive termination will survive (e.g., disclaimers, limitations of liability, indemnification)

17. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which SARAFAN is registered, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Services will be resolved through good-faith negotiation. If negotiation fails, disputes will be submitted to the exclusive jurisdiction of the courts in the jurisdiction where SARAFAN is registered.

18. Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of the Services and supersede any prior agreements or understandings.

Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms or any rights and obligations hereunder without our prior written consent. We may freely assign or transfer these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.

Headings. The section headings in these Terms are for convenience only and have no legal or contractual effect.
